August 11, 2026 [Storage Terminals Magazine]- Ondas Inc. has completed its previously announced acquisition of Cyberhawk, a global provider of drone-enabled inspection, visual data management and AI-based asset intelligence solutions for critical infrastructure operators.
The acquisition expands Ondas’ capabilities in critical infrastructure intelligence through the addition of Cyberhawk’s software-enabled inspection platform, AI-driven analytics and established customer base. Cyberhawk has decades of experience providing inspection and asset intelligence services to customers across the utilities, energy, renewable energy, mining and industrial sectors.
According to Ondas, the combination of Cyberhawk’s inspection and analytics capabilities with its autonomous systems portfolio is expected to support further growth in the drone inspection services market.
“The addition of Cyberhawk accelerates the development of Ondas’ growth platform across high value critical infrastructure and industrial markets that are now growing rapidly, driven by technology and regulatory advancements,” said Eric Brock, chairman and CEO of Ondas.
Brock said the company plans to integrate Cyberhawk into its broader technology platform, including its enterprise-wide deployment of Palantir Foundry. The integration is expected to support greater data integration, AI-enabled workflows and operational efficiencies.
Cyberhawk has established a global presence providing drone-based inspection and visual asset intelligence services to major infrastructure owners and operators. Its technology includes a visual data management platform, AI-enabled analytics and inspection teams designed to provide customers with data that can be used to identify maintenance requirements, improve asset performance and reduce operating costs.
The acquisition brings these capabilities together with Ondas’ portfolio of autonomous aerial systems, robotics and AI software. The companies said the combined offering is intended to provide infrastructure operators with an integrated platform covering data collection, asset inspection, analytics and operational intelligence.
The transaction also forms part of Ondas’ broader strategy to develop an autonomous intelligence platform combining intelligent sensing, autonomous systems, AI-powered analytics and mission execution across the defense, security and critical infrastructure sectors.
In connection with the acquisition, Ondas said it approved inducement equity awards for 47 employees newly hired as part of the transaction. The awards comprise restricted stock units (RSUs) representing 1,601,593 shares of Ondas common stock and stock options exercisable for 1,290,000 shares.
The stock options have an exercise price of $9.11 per share and were issued under the Nasdaq Rule 5635(c)(4) inducement grant exception as part of the employees’ compensation packages and as an inducement to join the company.
Of the RSUs, awards representing 1,097,687 shares will vest semi-annually over two years following the closing of the acquisition, subject to continued employment. A further 460,000 shares will vest in stages beginning August 10th, 2027, followed by eight equal quarterly instalments, while RSUs representing 43,906 shares vested on the closing date.
The stock options covering 1,290,000 shares will vest in one-third increments beginning August 10th, 2027, followed by 24 equal monthly instalments, subject to the relevant employees remaining with Ondas.
Ondas said additional information on the acquisition would be provided in a Current Report on Form 8-K to be filed with the US Securities and Exchange Commission.
